Whitepaper V4.1
4. Corporate, Legal and Governance Architecture
IONON is not one legal entity pretending to perform every role. The target operating architecture separates intellectual property, protocol governance, commercial products, education and public-interest work while keeping a single brand and source-of-truth registry.
4.1 MenteCrypto.AI INC
MenteCrypto.AI INC is the proposed corporate root for core IP stewardship, product development, capital planning, enterprise commercialization and shared operating functions. Intercompany licenses and services should be documented so that regional or project-level investment never creates an implied transfer of unrelated IP, data or treasury assets.
4.2 IONON DAO LLC
IONON DAO LLC is organized in Wyoming. The DAO legal wrapper and the on-chain Aragon organization should be treated as two representations of the same governance domain, with a published mapping of legal entity, DAO address, governance plugin, gIONON wrapper, treasury Safe and permissions. The public certificate supplied for this project shows a Certificate of Organization dated 20 April 2026.
IONON’s stated governance position is that IONON DAO is 100% decentralized. V4 therefore removes the earlier “progressive decentralization” framing and does not infer a lesser status from temporary implementation, interface, or holder observations. The institutional objective is to make that claim independently inspectable: the Trust Center should publish contract permissions, proposal and execution paths, treasury authority, upgrade authority, emergency powers, voting rules and administrative-key status so a technical reviewer can verify how governance actually operates.
4.3 IONON Intelligence
iononintelligence.com is the target home for a model/agent/capability platform: models, datasets, agents, tools, skills, MCP servers, A2A agents, workflows, evaluations, endpoints, compute and knowledge artifacts. It is structurally complementary to IONON: Intelligence provides capabilities; IONON supplies identity, authority, economic policy and settlement.
4.4 IONON Intelligence Foundation
The Foundation is intended for public goods, open standards, research, grants and ecosystem stewardship. Its final legal and tax structure must follow the mission actually adopted; the use of the word “Foundation” is not itself a representation of charitable or tax-exempt status.
4.5 Blockchain Kingdom Institute
Blockchain Kingdom Institute provides the educational and research arm: training, certification, curriculum, economic literacy and developer/operator education. It should not hold protocol treasury assets unless a formal governance grant assigns them.
4.6 Commercial application engines
Products such as IONON Pay, IONON Card and SuperSaleAgents can produce revenue and transaction density without redefining the core protocol. They are demand engines for identity, policy, wallet and settlement infrastructure.
4.7 Executive operating architecture
A company capable of carrying financial, identity and agentic infrastructure requires role separation even when the earliest team is small. V4 defines the functions first; individual people can hold more than one function temporarily, but no control should disappear because one person holds two titles.
| Function | Primary accountability | Non-delegable control outcome |
|---|---|---|
| CEO / Group Strategy | Mission, capital allocation, portfolio coherence, external accountability | One strategy and one brand canon |
| CTO / Protocol Engineering | Network, wallet, agents, APIs, bridge, release engineering | Reproducible technical architecture |
| CFO | Treasury, runway, accounting, capital formation, financial controls | Every dollar/token has an owner, purpose and ledger classification |
| Chief Revenue Officer | Enterprise pipeline, pricing, channels, partnerships and monetization | Revenue growth independent of token-sale dependency |
| Chief Risk & Compliance Officer | Enterprise risk, AML/KYT controls where applicable, policy governance, risk acceptance | Risk has named owners and measurable limits |
| CISO / Security Engineering | Key management, software supply chain, monitoring, incident response, audits | No critical asset without a security owner and recovery path |
| General Counsel / Regulatory | Entity boundaries, contracts, IP, distribution law, licensing analysis | Product claims and transactions match applicable law |
| Product / Design | User journey, developer experience, documentation and product truth | One coherent system instead of disconnected features |
The operating principle borrowed from the strongest technology companies is not organizational theater; it is tight integration with explicit accountability. IONON should integrate product, protocol, finance and trust at the user experience layer while preserving separation of duties underneath.
4.8 Four institutional firewalls
- IP firewall. Core IONON intellectual property owned or licensed by the proper group entity must be documented; an investment in one product or jurisdiction does not silently acquire unrelated IP.
- Treasury firewall. DAO assets, corporate operating cash, protocol-owned liquidity, client/custodial assets (if any), foundation funds and team vesting are never treated as one balance sheet.
- Data firewall. Identity/KYC data, agent activity, commercial telemetry and public on-chain data have separate retention and access rules.
- Authority firewall. A corporate officer, DAO voter, multisig signer, software administrator and agent operator are distinct roles even if temporarily performed by the same human.
4.9 Decision committees
V4 recommends five standing control forums: Treasury & Capital, Market Integrity, Security & Incident Response, Protocol Release, and Revenue & Partnerships. Material actions enter through a documented proposal, named owner, risk assessment, approval threshold and evidence record. The objective is to make decision quality repeatable as the organization scales from a founder-led team to a multi-entity global group.
