IONON Whitepaper — Legal and Compliance Alignment Annex v4.1

Approved

Date: 16 October 2026 · Status: EDITORIAL/LEGAL COMPANION, not final legal opinion or an offering prospectus. Preservation: V4.0 master is preserved verbatim in archive; changes below are additive. This is a companion to V4, not silent replacement.

MenteCrypto.AI Inc. is represented as Florida-organized IP/software holding. The IONON trademark certificate (Reg. 8,433,751, Class 42, September 15 2026) names it as registrant; assignments for individual source assets remain to be documented. IONON DAO LLC is Wyoming-organized on 20 April 2026 as shown in the formation certificate; operation, membership, contractual authority, treasury rights and smart contract governance need legal/code reconciliation. The future IONON Foundation Inc. has no operative authority in this release.

Services must identify provider of record. Being a parent company does not imply ownership of third-party network infrastructure. A DAO token holder is not automatically a shareholder of MenteCrypto, a member of the DAO LLC or a creditor with redemption rights. Any legal rights come from enforceable governance/contract documents and law.

B. Regulatory boundary of agentic money

Agent wallet, delegated policy and router services must undergo a feature-by-feature functional mapping: who can sign, who can direct, who receives or transmits virtual/fiat value, where funds sit, who can change rights, who is customer-facing counterparty and in which states/countries the service operates. Calling it “noncustodial” or “decentralized” is not legal clearance. See FinCEN 2019 CVC guidance.

C. Token Genesis and disclosures

Token IONON (Ethereum 0x20089135a8970Ec0C077032689af6fBCd7E86836) with modelled 100M cap and 40/30/10/7/6/5/2 working allocation; gIONON 0xbDde552E2697837C7f75053c90cF97544f928034 is management-provided and still requires reconciliation. The Uniswap CCA is an intended market mechanism, not a current authorization to sell. Terms must disclose seller of record, pricing/auction parameters, risks, budget/claims/refunds, ETH funds beneficiary, liquidity arrangements, rights, US eligibility and marketing restrictions. SEC 2026 crypto interpretation emphasizes that a token not itself a security may be sold pursuant to an investment contract; “utility” labels do not create exemption. SEC interpretation.

D. DAO statute

Align Wyoming W.S. 17-31-104 to -115 with actual Aragon deployments, votes and Articles. Register public smart contract identifiers; interpret update condition specifically for algorithmically managed DAOs; prepare one-year activity/dissolution monitoring. Contract votes cannot unilaterally convey unlicensed intellectual property. Wyoming statutory text.

E. Identity and agency evidence

A verifiable Agent Birth Certificate proves issuance, not independent legal personhood. A properly limited principal mandate must bind role, spend, scope, destination, expiry, revocation, user controls, signatures and transaction receipts. AP2 is an interoperability benchmark, not proof of conformity or authorization. Rules enforcing payment must be deterministic and independently testable. AP2 official spec.

F. Blockchain bridge and economic invariant

Management reports IONON Network deployed in test mode; mainnet release, security of the bridge, interoperability, validator agreement, replay safety, 1:1 backing, crisis controls and external audits remain proof-gated. Bridged supply must not multiply the economic IONON supply or count gIONON again. No unconditional “quantum-proof” warranty should be published without independent, deployment-specific verification and threat model.

G. Treasury, financial claims and market integrity

DAO treasury, treasury vault, protocol liquidity, operating capital, user assets (if applicable), reserves and company revenue must not be mixed. FDV not proceeds. Buyback may be a future conditional treasury operation but not guaranteed price support or market manipulation. Business model revenue should derive from actual infrastructure/software/services, not treating token distribution as ARR.

H. Privacy, sanctions, external service providers

Birth certificates, prompts, money instructions and agent evaluation logs should minimize personal data and not expose sensitive PII on immutable chains. Apply sanctions/AML/KYC as required by actual role. Third-party bank/card/merchant issuer remains separately identified; provider proposal does not establish an operating program. A future payment stablecoin like iUSD requires separate issuer legal approval and is not a Genesis asset.

I. Corporate and federal BOI status — October 2026

FinCEN August 11, 2026 rule exempts US-formed entities from federal CTA beneficial ownership reporting; that is not a waiver of KYB, FATCA, applicable taxes or customer AML checks. FinCEN official. IRS 501(c)(3) status cannot be assumed for a foundation not yet formed.

J. Publication gate and provenance

All material claims must map to record of proof: government filings, signed IP transfer, blockchain contract/tx, auditor scope, legal memo, provider contract or management statement clearly labelled. MenteCrypto, DAO and future Foundation have different signers and legal notices; never use a single undefined “we” across regulatory obligations. This annex and all contract drafts are not legally effective until ratified, executed and deployed by the authorized entity.
